Terms of Service

1. Definitions

The following definitions apply throughout these Terms:

• "Platform" / "Interface": The Hourly Harvest web application, including all pages, APIs, and associated services available at the Hourly Harvest domain.
• "We" / "Us" / "Our": The Hourly Harvest team, operators, and contributors responsible for developing and maintaining the Platform.
• "You" / "User": Any individual or entity that accesses or uses the Platform.
• "Digital Assets": Any blockchain-based tokens processed by the Platform, primarily SKR ($SKR) tokens on the Solana blockchain.
• "Staking Lock": A time-limited commitment of $SKR tokens to the Platform's staking smart contract, initiated by you for a chosen duration in exchange for hourly rewards.
• "Claim Window": A 60-minute interval during which a specific hourly reward slot may be claimed. Each staking lock generates one claim slot per hour. The window opens at the start of each hour and expires exactly 60 minutes later.
• "Claimable Slot": A claim window that has opened and not yet expired, making the associated reward available to be claimed.
• "Forfeited Slot": A claim window that expired without a claim being submitted. The associated reward for that slot is permanently forfeited and cannot be recovered.
• "Vault": An off-chain ledger maintained by the Platform recording successfully claimed rewards that have not yet been transferred on-chain to your wallet.
• "SGT" / "Seeker Genesis Token": A Token-2022 NFT on the Solana blockchain issued by Solana Mobile. Holding a valid SGT in your connected wallet is required to access the Platform.
• ".skr Domain": A blockchain domain issued under the Solana Keyboard Registry TLD by AllDomains, required for participation in the referral system.
• "Referral Reward": A percentage of rewards earned by referred users, credited to a referrer's account.
• "Non-Custodial": We do not hold, control, or have access to your private keys or digital assets at any time. All transactions require your explicit cryptographic authorisation via your wallet.

2. Acceptance of Terms

By connecting your wallet to, navigating to, accessing, or in any other way using the Platform, you confirm that:

• You have read these Terms in full and agree to be bound by them;
• You accept our Privacy Policy and our Software Licence;
• You are at least 18 years of age, or the age of legal majority in your jurisdiction if higher;
• These Terms form a legally binding agreement between you and us.

If you do not agree to any part of these Terms, you must immediately cease all use of the Platform. Continued use of the Platform following any update to these Terms constitutes your acceptance of the updated Terms.

3. Eligibility and Access Requirements

Use of the Platform is subject to the following eligibility requirements, all of which must be satisfied simultaneously:

• Age: You must be at least 18 years old. You represent that you meet this requirement.
• SGT Requirement: Your connected Solana wallet must hold a valid Seeker Genesis Token at the time of each request. SGT ownership is verified server-side by querying the Solana blockchain using the Token-2022 programme. SGT eligibility is not guaranteed in perpetuity — if you transfer or lose your SGT, access to the Platform will be revoked immediately upon the next verification check.
• Geographic Restrictions: You represent that you are not located in, a resident of, or acting on behalf of any person or entity in a jurisdiction where access to or use of decentralised finance platforms, cryptocurrency staking, or digital asset services is prohibited or restricted by applicable law. This includes but may not be limited to certain jurisdictions subject to OFAC sanctions or equivalent regulatory regimes. It is your sole responsibility to determine whether use of the Platform is lawful in your jurisdiction.
• Legal Capacity: You have full legal capacity to enter into binding contracts and are not subject to any legal restriction that would prevent your use of the Platform.
• Wallet Security: You are solely responsible for maintaining the security of your wallet's private keys and seed phrase. We have no ability to recover lost wallets or reverse transactions.

4. Description of Services

The Platform provides the following services to eligible users:

• Token Staking: Lock $SKR tokens for a chosen duration (3, 7, 30, or 60 days) and receive a calculated total reward, distributed in hourly slots.
• Hourly Claiming: Interact with the Platform within each 60-minute claim window to claim your available hourly reward. Unclaimed windows are permanently forfeited.
• Vault and Reward Withdrawal: Accumulate successfully claimed rewards in your vault and withdraw them to your wallet as a single on-chain transfer.
• Referral Programme: Invite other SGT holders to the Platform using your referral code and earn a percentage of their staking rewards.
• Stake Return: Upon completion of the lock period, your original staked $SKR tokens are returned to your wallet on-chain.

We reserve the right to modify, suspend, or discontinue any service or feature at any time without prior notice. We shall not be liable for any such modification, suspension, or discontinuation.

5. The Staking Mechanism

When you initiate a staking lock, you transfer $SKR tokens from your wallet to the Platform's treasury wallet on-chain. This transfer is irreversible for the duration of the selected lock period. The Platform records the details of your lock and begins generating hourly claim slots from the moment of lock creation.

The total reward for a staking lock is calculated as:

• Staked Amount × Duration Multiplier = Total Reward
• 3-day lock: 1.0× multiplier (100% of staked amount returned as reward)
• 7-day lock: 1.2× multiplier (120% of staked amount returned as reward)
• 30-day lock: 1.5× multiplier (150% of staked amount returned as reward)
• 60-day lock: 2.0× multiplier (200% of staked amount returned as reward)

The total reward is divided equally across all hourly slots generated during the lock period. Your staked principal is returned separately on-chain upon lock completion, independent of reward claims. Rewards and principal are distinct — claiming rewards does not affect principal return, and principal return does not affect reward accumulation.

You acknowledge that the Platform is non-custodial in intent but that the staking mechanism requires a temporary transfer of tokens to the treasury wallet for the duration of the lock. You accept this architecture and its associated risks.

6. Hourly Claim Windows

The hourly claiming mechanism is a core and defining feature of the Platform. You must understand and accept the following rules before staking:

• Window Duration: Each claim slot has a window of exactly 60 minutes. The window opens at the start of the relevant hour and expires 60 minutes later.
• Active Participation Required: You must actively visit the Platform and submit a claim during the open window. No automatic, scheduled, or batched claiming is available.
• Permanent Forfeiture: If a claim window expires without a successful claim, the reward allocated to that slot is permanently forfeited. It cannot be recovered, carried forward, or compensated for in any way.
• No Liability for Missed Windows: We accept no liability whatsoever for missed claim windows. You are solely responsible for monitoring your staking locks and claiming within each window. Technical difficulties on your end (internet outages, device failure, wallet disconnection) do not constitute grounds for compensation or restoration of forfeited slots.
• Platform Downtime: In the event of Platform downtime during a claim window, we will make commercially reasonable efforts to restore service. However, we make no guarantee that Platform uptime will be maintained during any specific claim window, and we accept no liability for windows forfeited due to Platform unavailability.
• Claim Submission: A claim is considered submitted when the API request is received by our servers and recorded. Blockchain confirmation of reward transfer occurs when you subsequently withdraw from your vault.

7. Referral System Terms

• Eligibility: To generate and use referral codes, your wallet must hold a valid .skr domain registered with AllDomains. The .skr domain is resolved on-chain and associated with your referral profile.
• Referral Codes: Upon registration with a valid .skr domain, a unique referral code is generated for your account. You may share this code with others who have not yet registered on the Platform.
• Referral Earnings: When a user registers with your referral code and earns staking rewards, you receive a percentage of their reward earnings, credited to your referral earnings balance.
• Prohibition on Self-Referral: You may not use your own referral code, create multiple accounts to generate artificial referral earnings, or otherwise manipulate the referral system. Violations will result in account blacklisting and forfeiture of all referral earnings.
• Referral Reward Withdrawal: Referral earnings may be withdrawn to your wallet subject to any minimum withdrawal thresholds that may be set by the Platform.
• Modification: We reserve the right to modify referral reward percentages, eligibility criteria, and payout mechanics at any time without prior notice.

8. Vault and Reward Withdrawal

Claimed hourly rewards are not immediately transferred on-chain. Instead, they are credited to your vault — an off-chain ledger maintained by the Platform. This design reduces on-chain transaction fees by batching reward accumulation and allowing you to withdraw in a single transaction.

• Vault Balance: Your vault displays the total unclaimed rewards available for on-chain withdrawal.
• Withdrawal: You may request an on-chain withdrawal of your vault balance at any time. The transfer is executed from the treasury wallet to your connected wallet.
• Accuracy: Vault balances are maintained server-side and are considered authoritative. In the event of a discrepancy between your displayed vault balance and our records, our records prevail.
• No Guarantee of Withdrawal Timing: While we make reasonable efforts to process withdrawal requests promptly, we do not guarantee any specific processing time. Network congestion, technical issues, or treasury wallet constraints may cause delays.

9. User Responsibilities

By using the Platform, you agree to:

• Maintain the security of your wallet and never share your private key or seed phrase with any party, including us;
• Ensure you understand the staking mechanics, reward structure, and claim window rules before initiating any staking lock;
• Independently verify that use of the Platform is lawful in your jurisdiction;
• Promptly report any security vulnerabilities, bugs, or discrepancies through the Platform's support system;
• Not attempt to access or use the Platform through automated scripts, bots, or programmatic tools other than via the official Interface;
• Accept all financial risks associated with digital asset staking, including but not limited to market volatility, smart contract vulnerabilities, and potential total loss of staked funds;
• Pay all applicable taxes on any gains arising from your use of the Platform.

10. Prohibited Activities

The following activities are strictly prohibited and will result in immediate blacklisting, forfeiture of all balances, and potential legal action:

• Attempting to exploit, circumvent, or manipulate the claim window mechanism, including through time manipulation or API spoofing;
• Submitting fraudulent or replayed transaction signatures to claim rewards without a valid on-chain stake;
• Creating multiple accounts for the same wallet address or colluding with others to generate artificial referral earnings;
• Attempting to perform denial-of-service attacks against the Platform's API or infrastructure;
• Reverse-engineering, decompiling, or disassembling any component of the Platform's software;
• Using the Platform in any manner that violates applicable sanctions laws or anti-money laundering regulations;
• Interfering with other users' access to the Platform or their staking activity;
• Misrepresenting your identity, wallet ownership, or SGT holdings to gain unauthorised access.

11. Risk Acknowledgment

You explicitly acknowledge and accept the following risks by using the Platform:

• Active Participation Risk: The Platform requires you to be actively present and claim your rewards within each 60-minute window. There is no passive income mechanism. Missing a window permanently forfeits that reward with no recourse.
• Lock Period Risk: Once initiated, a staking lock cannot be cancelled or reversed before the unlock date. Your tokens are inaccessible for the full duration. This is a deliberate design feature, not a limitation.
• Market and Value Risk: The market value of $SKR tokens may decrease significantly or to zero during or after your staking lock. We make no representation about the future value of $SKR and no reward paid by the Platform constitutes financial advice or a guaranteed return.
• Smart Contract and Technical Risk: Despite best efforts, software may contain bugs, vulnerabilities, or edge cases that result in loss of funds, incorrect reward calculations, or inaccessibility of the Platform.
• Blockchain Risk: Solana network congestion, outages, forks, or upgrades may affect the ability to submit transactions, including staking locks, claim withdrawals, and principal returns.
• Regulatory Risk: The regulatory environment for decentralised finance and digital asset staking is rapidly evolving. Changes in applicable law may require us to modify, restrict, or discontinue the Platform or your access to it.
• Counterparty Risk: While the Platform is designed to be non-custodial in intent, the staking and reward mechanism involves on-chain transfers to and from the treasury wallet. This introduces a degree of counterparty reliance on the continued operation of the Platform.

12. Intellectual Property

All content, design, code, branding, visual elements, and proprietary logic comprising the Platform are owned by or licensed to Hourly Harvest and are protected by applicable intellectual property laws. Nothing in these Terms grants you any rights to our intellectual property other than the limited right to use the Platform as permitted by these Terms.

The Platform incorporates open source software components, including Next.js, Prisma, and Solana Web3.js, each governed by their respective open source licences. Details are available in our Software Licence.

13. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement;
• Warranties that the Platform will be available, uninterrupted, error-free, or secure at any particular time;
• Warranties that any reward, yield, or return will be generated from staking activity;
• Warranties that the Platform is free from bugs, viruses, or other harmful code;
• Warranties that on-chain transactions will be processed within any particular timeframe;
• Any representation that the Platform constitutes financial, investment, legal, or tax advice of any kind.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HOURLY HARVEST AND ITS CONTRIBUTORS, OPERATORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY:

• Loss of digital assets, including $SKR tokens, resulting from use of the Platform;
• Lost profits, lost revenue, lost data, or missed opportunity costs;
• Indirect, incidental, special, consequential, or punitive damages arising from or related to your use of or inability to use the Platform;
• Forfeiture of claim window rewards due to missed claiming, Platform downtime, or any other cause;
• Actions or inactions of third-party services, including RPC providers, wallet providers, or blockchain networks.

OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM IS LIMITED TO USD $100 (ONE HUNDRED US DOLLARS). THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION AND WHETHER THE CLAIM IS BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.

15. Indemnification

You agree to indemnify, defend, and hold harmless Hourly Harvest and its operators, contributors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any applicable law; (d) your infringement of any third-party rights; or (e) your unauthorised or prohibited use of the Platform.

16. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By accepting these Terms, you also accept our Privacy Policy.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted to the Platform with a revised "Last Updated" date. You are responsible for reviewing these Terms regularly. Your continued use of the Platform after any change constitutes acceptance of the new Terms. If a modification is material, we will make reasonable efforts to notify users through in-Platform notifications or other appropriate means.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to its conflict of law provisions. To the extent that any court action is not barred by the arbitration agreement in Section 20, you agree to submit to the exclusive jurisdiction of the courts of the applicable jurisdiction.

19. Severability and Entire Agreement

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. These Terms, together with the Privacy Policy and Software Licence, constitute the entire agreement between you and Hourly Harvest regarding your use of the Platform and supersede all prior agreements, representations, or understandings.

20. Arbitration Agreement and Class Action Waiver

Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Platform (a "Dispute") shall be resolved exclusively by binding individual arbitration, and not by any court, judge, or jury. You and we each waive the right to participate in a class action or class arbitration.

Class Action Waiver: You and we agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. No arbitrator shall have authority to consolidate more than one party's claims or to preside over any representative form of proceeding.

Exception: Either party may bring an individual claim in small claims court, if the claim qualifies. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent infringement of intellectual property rights or in connection with any actual or threatened breach of security.
